TNT Productions · Kova POS Beta Tester Confidentiality Agreement

1. Definition of Confidential Information

All non-public information disclosed by TNT Productions to you in connection with the Kova POS beta program — including source code, compiled software, features, UI, workflows, business plans, pricing models, technical documentation, APIs, bug reports, and any information a reasonable person would understand to be confidential.

Does not include: information already publicly available through no breach of this agreement, information already known to you, or information independently developed without use of Confidential Information.

2. Your Obligations

• Keep all Confidential Information strictly confidential
• Do not share, publish, or distribute Confidential Information to any third party without prior written consent
• Use Confidential Information only for participating in the Kova POS beta program
• Do not reverse engineer, decompile, or attempt to derive source code from the software
• Do not post screenshots, screen recordings, or descriptions of specific features publicly without prior written consent
• Notify TNT Productions immediately if you become aware of any unauthorized disclosure
• Limit access to employees or contractors who need it for beta testing and are bound by equal confidentiality obligations

3. Intellectual Property

All Confidential Information and intellectual property rights remain the exclusive property of TNT Productions. Nothing in this agreement grants you any ownership interest or license beyond the limited right to use Kova POS for beta testing purposes.

You acknowledge that TNT Productions — specifically Tiffany Bauer — is the sole author and owner of Kova POS and all related intellectual property. You agree never to represent, claim, or imply ownership or authorship of any part of Kova POS.

Any feedback, suggestions, bug reports, or ideas you submit become the exclusive property of TNT Productions and may be used without restriction, compensation, or attribution.

4. Beta License

TNT Productions grants you a limited, non-exclusive, non-transferable, revocable license to use Kova POS solely for internal beta testing during the program period. This license may be revoked at any time with written notice.

5. Term

This agreement begins when you accept below. Confidentiality obligations continue for three (3) years from that date regardless of when the beta program ends. Upon request or termination, you agree to return or destroy all copies of Confidential Information.

6. Remedies

Any breach would cause irreparable harm to TNT Productions. TNT Productions is entitled to seek injunctive relief, specific performance, and any other equitable or legal remedy, including recovery of all costs and attorney fees.

7. General Provisions

Governed by the laws of the State of Washington. Entire agreement on this subject matter. Only modifiable in writing by both parties. If any provision is unenforceable, the rest continues in effect.

8. Acknowledgment

By accepting below, you confirm you have read and understood this agreement, you agree to be bound by its terms, and you acknowledge that Kova POS is the confidential and proprietary property of TNT Productions.
